When you visit any of our Websites, send us e-mails, or engage with our chat function, you are communicating with us electronically. In so doing, you consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on any Website. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.
Ownership & Rights to Use the Services and Content
Ownership. The Service and all of its content (“Content”), including all copyrights, patents, trademarks, service marks, trade names and all other intellectual property rights therein (“Intellectual Property”), are owned or controlled by Sauz, our licensors, and certain other third parties. All right, title, and interest in and to the Content and Intellectual Property available via the Website and Services is the property of Sauz, our licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent and/or other Intellectual Property and unfair competition rights and laws to the fullest extent possible. Sauz owns the copyright in the selection, compilation, assembly, arrangement, and enhancement of the Content on the Website and Services.
Your Rights to Use the Services and Content. (i) Your right to use the Website and Content is subject to your strict compliance with these Terms. Your right to access and use the Websites and the Intellectual Property shall automatically terminate upon any violations. These rights are non-exclusive, limited, and revocable by us at any time in our sole discretion without advance notice or liability. As your right to access and use the Websites and the
Content is personal to you, you may not assign nor transfer your right; any attempt to do so is void. Breach and Remedies
You understand and agree that observance of your obligations hereunder is of significant importance to Sauz and that, if you breach these Terms, Sauz would incur serious losses and other detrimental consequences which might not easily be cured.
If you breach any provision of or undertaking under these Terms, Sauz shall have the right to seek specific performance in respect of your obligations under these Terms, including but not limited to the right to request that you cease and/or desist from committing any breach of such obligations, whether or not this forces you to abandon any commercial activity or not to pursue any opportunities at that time (cease and desist injunction).
Sauz has the right to seek interim legal protection to prevent detrimental consequences and effects that cannot easily be remedied or to ensure an effective enforcement of your obligations under these Terms. In such event, you fully waive any right you may have under applicable laws to request the provision of securities by Sauz.
These Terms remain in full force and effect while you use the Website and Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR
LIABILITY, DENY ACCESS TO AND USE OF THE WEBSITE OR THE SERVICES TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION. IN ANY EVENT, THE AGGREGATE LIABILITY OF US AND OUR AFFILIATES AND OUR SERVICE PROVIDERS UNDER THESE TERMS & CONDITIONS SHALL NOT EXCEED FIVE HUNDRED DOLLARS ($500.00).
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Arbitration Clause & Class Action Waiver
ARBITRATION CLAUSE AND CLASS ACTION WAIVER - IMPORTANT - PLEASE REVIEW AS THIS AFFECTS YOUR LEGAL RIGHTS
A. Arbitration Notice
If you and Sauz are unable to resolve the claims described in the Notice within thirty (30) days after the Notice is sent, you or Sauz may initiate arbitration proceedings. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow the provisions of these Terms & Conditions as a court would. YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY AND KNOWINGLY FORFEITING YOUR RIGHT TO A TRIAL BY JURY AND TO OTHERWISE PROCEED IN A LAWSUIT IN STATE OR FEDERAL COURT.
The Federal Arbitration Act and federal arbitration law apply, and the American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules.
The arbitration shall be held in the State of California or at another mutually agreed location. If the value of the relief sought is $10,000 or less, you or us may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and us subject to the arbitrator's discretion to require an in-person hearing, if the circumstances warrant. Attendance at an in-person hearing may be made by telephone by you and us unless the arbitrator requires otherwise.
The arbitrator will decide the substance of all claims in accordance with the laws of the State of California, including recognized principles of equity, and will honor all claims of privilege recognized by applicable law. The arbitrator's award shall be confidential, final, and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
Notwithstanding any provision in these Terms to the contrary, you and us agree that if us makes any change to this Section (other than a change to any notice address or website link provided herein) in the future, that change shall not apply to any claim that was filed in a
proceeding against us prior to the effective date of the change. Moreover, if we seek to terminate this Section, any such termination shall not be effective until thirty (30) days after the version of the Terms containing this Section is posted to the websites and shall not be effective as to any claim that was filed in a proceeding against us prior to the effective date of termination.
CLASS ACTION WAIVER: YOU AND THE COMPANY AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
B. Claims and Disputes Must be Filed Within One Year
To the extent permitted by law, and without limiting the effect of any disclaimer contained herein, any cause of action or claim you may have with respect to your use of the Services, including, without limitation, any website or mobile application or other Services-related product, services, or other content must be commenced within one (1) year after the claim or cause of action arises. This section applies to you and your heirs, successors, and assigns.
Limitation of Liability
You understand and agree that in no event shall Sauz, its subsidiaries, affiliates, employees, officers, representatives, contractors, suppliers, licensors, or any other authorized agent or representative be liable to you or to any third party for any claim, loss or injury, including without limitation any direct, indirect, incidental, special, consequential, or exemplary damages which you may incur, howsoever caused and under any theory of liability, whether in contract, tort (including negligence), or otherwise resulting from the use or the inability to use the Website or Services and/or any other goods or services purchased or obtained, or messages received or transactions entered into through the Services or Website, or resulting from unauthorized access to or alteration of your transmissions or data, including, without limitation, damages for any loss of profits (whether incurred directly or indirectly), loss of goodwill or business reputation, loss of data, cost of procurement of substitute goods or services, or use, data, or any other intangible loss, even if Sauz has been advised of the possibility of such damages.
You agree and acknowledge that Sauz’s total, aggregate liability for any and all claims relating to these Terms or your access to or use of (or your inability to access or use) any portion of the Website, whether in contract, tort, strict liability, or any other legal theory, is limited to the amounts you actually paid us under these Terms.
You agree and acknowledge that we have made the Website available to you and entered into these Terms in reliance upon the warranty disclaimers and limitations of liability set forth herein, which reflect a reasonable and fair allocation of risk between the parties and form an essential basis of the bargain between us. We would not be able to provide the Website and Services to you without these limitations.
In those jurisdictions which do not permit the exclusion or limitation of liability for incidental or consequential damages, any such liability shall be limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold Sauz and its officers, agents, partners, directors, and employees, harmless , at your sole expense, from and against any loss, damages, liability, claim, legal proceeding, settlements, or demand, including reasonable attorneys' fees and expenses, and other costs made by third party due to or arising out of: (1) your access or use of the Website, (2) breach of these Terms or the documents it incorporates by reference, (3) any breach of your representations and warranties set forth in these Terms, (4) a claim that your use of any Website infringes the rights of a third party, including but not limited, to copyright, trademark, trade secret, patent, or other intellectual property rights, (5) your negligence or misconduct, or (6) any overt harmful act toward any other use of the Website with whom you connected via the Website. Notwithstanding the foregoing, Sauz reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action or proceeding which is subject to this indemnification upon becoming aware of it. The assumption of such defense or control by us, however, shall not excuse any of your indemnity obligations.
If any portion of these Terms is found to be unenforceable, that provision will be severed from these Terms, and will not affect the validity and enforceability of the remaining Terms.
Copyright Infringement / DMCA Notice
If you believe that any content on our Website violates your copyright, and you wish to have the allegedly infringing material removed, the following information in the form of a written notification (pursuant to 17 U.S.C. § 512(c) (“DMCA Takedown Notice”) must be provided to us:
Your physical or electronic signature;
Identification of the copyrighted work(s) that you claim to have been infringed;
Identification of the material on our Website that you claim is infringing and that you request us to remove;
Sufficient information to permit us to locate such material; Your address, telephone number, and e-mail address;

Please note that, pursuant to 17 U.S.C. § 512(f), any misrepresentation of material fact (falsities) in a written notification automatically subjects the complaining party to liability for any damages, costs and attorney’s fees incurred by Sauz in connection with the written notification and allegation of copyright infringement.

These Terms, and any applicable additional Terms, reflect our complete agreement regarding the Website and Services and supersede any prior agreements, representations, warranties, assurances or discussion related to the Service. Except as expressly set forth in these Terms, (i) no failure or delay by you or Sauz in exercising any of rights, powers, or remedies under will operate as a waiver of that or any other right, power, or remedy, and (ii) no waiver or modification of any term of these Terms will be effective unless in writing and signed by the party against whom the waiver or modification is sought to be enforced.
